(NYSE: SRZ) announced today that it proposes to offer $75 million principal amount of its junior subordinated convertible notes, subject to market conditions and other factors. The notes will be due in 2041 and are to be offered and sold to qualified institutional buyers. The Company also intends to grant to the initial purchasers an option, exercisable within a 30 day period, to purchase up to an additional $11.25 million principal amount of notes.
The notes will be unsecured, junior subordinated obligations of the Company, and interest will be payable semi-annually. The notes will be convertible into shares of the Company's common stock. The interest rate, conversion rate, offering price and other terms are to be determined by negotiations among the Company and the initial purchasers.
