Szaferman Lakind Adds Securities Practice

LAWRENCEVILLE, N.J., Sept. 17, 2013 /PRNewswire/ -- Szaferman, Lakind, Blumstein & Blader, PC, a Lawrenceville, New Jersey law firm announced today the addition of a securities practice to its Business Department. Partner Gregg Jaclin, who comes to Szaferman with extensive experience in securities law, will head the securities practice and is being joined by Eric Stein, Counsel, as well as associates Bella Zaslavsky, Jamie Wang, and Blake Baron and by paralegal Jennifer Zammit.  With the addition of the securities practice, the Business Department now is comprised of thirteen lawyers and includes corporate, institutional finance, mergers and acquisitions, intellectual property, tax and estates, real estate and land use and securities practices. This expansion brings the total number of attorneys at the firm to 40.

The securities practice will continue the specialty developed by Gregg and his colleagues in microcap transactions including "PIPE" or private investment in public entity transactions. The lawyers in the securities practice will continue to advise clients in private equity, venture capital, reverse mergers, Regulation D and S offerings under federal securities laws, secondary offerings, convertible debt and bridge financing transactions.

ABOUT THE LAWYERS

Gregg E. Jaclin has been practicing for more than 18 years and concentrates in securities law. He focuses on assisting clients in financing, mergers, acquisitions and securities issues. He has a national reputation and represents clients in a number of industries including bio-tech, high-tech and clean-tech manufacturing.  Gregg has represented issuers and equity holders in capital transactions, shareholders agreements, private placements and public offerings of both debt and equity securities. Companies which Gregg represents include those whose equity trades on the NASDAQ and American Stock exchanges. He has represented clients before the Securities and Exchange Commission and National Association of Securities Dealers. Gregg has worked with more than 100 clients closing transactions between $500,000 and $25 million.  His experience extends to private equity and hedge fund representation as well. Eric M. Stein has been practicing for more than 9 years, focusing on corporate and securities transactions involving public and private companies as well as investment funds. Eric assists public companies with their compliance obligations before the SEC, FINRA, NASDAQ and the American Stock Exchange. Eric has assisted clients in public offerings, underwritten initial public offerings and reverse mergers.  Eric has considerable experience with capital raises in Regulation D and S offerings, equity lines and PIPE transactions. Eric joins the firm as Counsel and is admitted to practice in New York and New Jersey.   

Bella Zaslavsky has been practicing for more than five years and works with investors, issuers and investment banks on private placements and public offerings.  Bella has extensive experience with reverse mergers and direct public offerings, as well as self-filings.  Bella also works with public companies to meeting their periodic compliance obligations, preparing Forms 10-K, 10-Q and 8-K along with other regulatory and exchange submissions required by the SEC, NASDAQ, NYSE, AMEX and FINRA.  Bella joins the firm as an associate and is admitted to practice in New York and New Jersey.

Jamie Yi Wang has been practicing for more than three years, focusing her attention on the representation of underwriters and issuers in private placements. Blake Baron has been practicing for more than one year and has assisted in the representation of public and private companies on reverse mergers, public offerings and PIPE transactions.  Blake has also assisted public companies to satisfy their regulatory filing obligations with the SEC and has participated in the representation of clients in reverse mergers, and registered direct public offerings.
