(the "issuer"), finalized the terms of its previously announced senior notes offering on Friday. The issuer will issue $545 million aggregate principal amount of 7.250% Senior Notes due 2023 (the "notes"). The notes will be issued at a price of 100% of the aggregate principal amount. If the IPC acquisition does not close by December 31, 2015, the issuer will be required to redeem all outstanding notes at 100% of their issue price, plus accrued and unpaid interest.

The notes will be offered in a private placement and are expected to be resold by the initial purchasers to qualified institutional buyers under Rule 144A and outside the United States to non-U.S. investors pursuant to Regulation S under the Securities Act of 1933, as amended (the "Securities Act").
