
TRIMAC TRANSPORTATION LTD. ANNOUNCES REPURCHASE OF 400,000 CLASS A SHARES PURSUANT TO AN EXEMPT ISSUER BID
CALGARY, March 17 /PRNewswire/ - Trimac Transportation Ltd. ("Trimac" or the "Corporation") (TSX: TMA) announced today that it has repurchased 400,000 class A common shares (the "Class A Shares") from Maurice W. McCaig, a director of the Corporation, pursuant to an exemption from the issuer bid requirements contained in applicable Canadian securities laws. Such Class A Shares represent approximately 2% of all of the issued and outstanding Class A Shares of the Corporation (1.5% on a fully diluted basis). In accordance with such exemption, the price per Class A Share paid by the Corporation was $5.0725, being the simple average closing price of the Class A Shares on the Toronto Stock Exchange (the "TSX") for the 20 trading days immediately preceding the closing of the transaction. Management of the Corporation believes that the repurchase of such Class A Shares is accretive to all shareholders of the Corporation as management believes that the trading price of the Class A Shares on the TSX does not reflect the underlying value of the Class A Shares from time to time. The transaction was reviewed and unanimously approved by the independent directors of the Corporation who believe that the transaction is in the best interests of the Corporation. The repurchased Class A Shares will be cancelled by the Corporation. Maurice W. McCaig elected to sell some of his Class A Shares in connection with his retirement planning objectives.
