U.S. Critical Materials and REalloy Inc. Form Strategic Alliance to Advance U.S. Rare Earth Independence

SALT LAKE CITY, April 1, 2026 /PRNewswire/ -- U.S. Critical Materials Corp. ("USCM"), a leading rare earth exploration and process technology company, is pleased to announce that it has executed a non-binding Memorandum of Understanding ("MOU") with REalloys Inc. to collaborate in advancing domestic rare earth and critical mineral supply chain independence for the United States.

Under the MOU, the companies will combine their respective strengths in mineral resources, processing technology, and downstream capabilities to accelerate the development of a fully domestic rare earth supply chain. The collaboration is expected to include potential offtake agreements with REalloys and access to their existing rare earth processing and metallization capabilities at their Department of Defense-supported facility in Ohio. The MOU also establishes a framework for potential strategic investment and equity exchange, joint pursuit of government financing, and coordinated government relations — presenting the US government with a unified, fully domestic HREE supply chain narrative built on zero Chinese involvement at any stage.

USCM's Sheep Creek project in Montana consists of approximately 334 claims covering roughly 11 square miles and has reported rare earth concentrations of approximately 9% total rare earth elements. The deposit contains economically significant heavy rare earth elements, including dysprosium, terbium, and yttrium, as well as other critical minerals such as gallium, averaging over 300 ppm, a material with extensive defense and advanced technology applications.

Under the MOU, the Parties will advance metallurgical test work, optimize HREE processing flowsheets, and negotiate a definitive long-term offtake agreement, with reasonable efforts to execute within one year of the MOU date.

In parallel, USCM is developing environmentally benign rare earth processing technology in collaboration with Idaho National Laboratory, with the objective of establishing domestic processing capabilities that reduce environmental impact while strengthening national supply chain security.
