Alfa Laval supplements the tender offer document dated 12 August 2020 regarding the recommended public cash tender offer for all shares in Neles

As previously announced, Alfa Laval AB (publ) ("Alfa Laval" or the "Offeror") and Neles Corporation ("Neles") have on 13 July 2020 entered into a combination agreement pursuant to which Alfa Laval has made a voluntary recommended public cash tender offer for all issued and outstanding shares in Neles (the "Tender Offer"). Alfa Laval has published a tender offer document, dated 12 August 2020, concerning the Tender Offer (the "Tender Offer Document"). The acceptance period under the Tender Offer commenced on 13 August 2020 at 9:30 a.m. (Finnish time) and will expire on 30 October 2020 at 4:00 p.m. (Finnish time), unless extended in accordance with the terms and conditions of the Tender Offer and applicable laws and regulations.

The Finnish Financial Supervisory Authority has today approved a supplement to the Tender Offer Document (such supplement hereinafter the "Supplement Document"). The Supplement Document relates to the Offeror's decision announced on 15 October 2020 to amend the minimum acceptance condition of the Tender Offer and to extend the acceptance period under the Tender Offer, as well as to the stock exchange release published by Neles on 12 October 2020, according to which the approach made by Valmet Corporation to Neles regarding the proposal to start discussions on a potential statutory merger between the two companies does not enable a meaningful comparison of such merger proposal with the Tender Offer, and therefore the recommendation by the Board of Directors of Neles published on 12 August 2020 regarding the Tender Offer remains in place.

The Supplement Document and the stock exchange release published by Neles on 12 October 2020 are attached as Appendix 1 to this stock exchange release. In addition, the stock exchange release published by Neles on 12 October 2020 has been included as Appendix G to the Tender Offer Document.
