ATLANTA, July 20, 2015 /PRNewswire/ -- Invesco Advisers, Inc. today filed a shelf registration statement with the U.S. Securities and Exchange Commission ("SEC") for each of the following closed-end funds (each, a "Fund"):
Although the registration statements have been filed with the SEC, they have not yet become effective.
When effective, the shelf registration statements will enable a Fund to sell common shares, from time to time, in one or more secondary offerings. The shelf registration statements will allow each Fund to offer common shares when market conditions are considered favorable.
Common shares of a Fund may be offered at prices and on terms to be set forth in one or more prospectus supplements. The offering price per share will not be less than the net asset value ("NAV") per share at the time of the offering, exclusive of any underwriting commission or discounts, subject to certain conditions.
There can be no guarantee that a Fund will engage in any sales or any particular level of sales of common shares. Any proceeds raised will be used for investment purposes.
An investor should read the Fund's prospectus and, if and when available, the applicable prospectus supplement carefully before investing in a Fund. A Fund's common shares may be offered directly to one or more purchasers, through agents designated from time to time by a Fund, or to or through underwriters or dealers. The prospectus supplement relating to any offering will identify any agents, underwriters or dealers involved in the sale of Fund shares, and will set forth any applicable purchase price, fee, commission or discount arrangement between us and our agents or underwriters, or among our underwriters, or the basis upon which such amount may be calculated. Fund shares may not be sold through agents, underwriters or dealers without delivery of a prospectus supplement, if and when available, describing the method and terms of the particular offering of Fund shares.
This announcement shall not constitute an offer to sell or the solicitation of an offer to buy nor shall there be any sale of these shares in any jurisdiction in which such offer, solicitation or sale would be unlawful prior to registration or qualification under the securities laws of any such jurisdiction.
