SandRidge Energy, Inc. Announces Full Exercise of Over-Allotment Option for Previously Announced Private Offering of 7.0% Convertible Perpetual Preferred Stock
OKLAHOMA CITY, Nov. 9, 2010 /PRNewswire-FirstCall/ -- SandRidge Energy, Inc. (NYSE: SD) today announced that the initial purchasers of a previously announced private placement of the company's 7.0% convertible perpetual preferred stock have exercised in full their option to purchase an additional 500,000 shares, bringing the size of the transaction to an aggregate of 3,000,000 shares. Aggregate net proceeds of the offering are expected to be approximately $290.5 million. As previously announced, the company intends to use the net proceeds from this offering for general corporate purposes, including (i) to repay a portion of the amount outstanding under its revolving credit facility and (ii) to fund the company's capital expenditure program.
The company expects to close the placement of the 500,000 shares subject to the over-allotment option on Monday, November 15, 2010, subject to customary closing conditions.
