PARSIPPANY, N.J., Aug. 10, 2020 /PRNewswire/ -- Wyndham Hotels & Resorts, Inc. (NYSE: WH) announced today that it intends to offer $350 million aggregate principal amount of Senior Notes due 2028 (the "Notes"). The Company intends to use the net proceeds of the offering, together with cash on hand, to repay $350 million of the borrowings outstanding under its revolving credit facility and to pay related fees and expenses. The Notes will be guaranteed by certain of the Company's domestic restricted subsidiaries that guarantee its outstanding credit facilities and its existing notes.
The Notes and the related guarantees have not been registered under the Securities Act of 1933, as amended (the "Securities Act"), any state securities laws or the securities laws of any other jurisdiction. The Notes and the related guarantees may not be offered or sold in the United States except pursuant to an exemption from, or in a transaction not subject to, the registration requirements of the Securities Act and applicable state securities laws.
