The Alleged Unreconciled Cash Balance Scheme

The automotive services industry depends on investor trust in reported financials to attract capital and support valuations. The complaint alleges that Driven Brands' consolidated financial statements contained at least ten categories of errors, including:

• Errors in opening and ending cash balances and operating cash flows, resulting in overstatements of cash and revenue and understatements of selling, general and administrative expenses for fiscal years 2023 and 2024
• Errors relating to the completeness and accuracy of recording leases, primarily impacting right-of-use assets and liabilities on the consolidated balance sheet

The Auditor's Withdrawal of Confidence

On February 25, 2026, Driven Brands disclosed that PricewaterhouseCoopers LLP had reported that the Company's financial statements and internal control over financial reporting should not be relied upon.
