Spin Master Announces Increase and Amendments to Credit Agreement

TORONTO, Dec. 21, 2016 /PRNewswire/ - Spin Master Corp. ("Spin Master" or the "Company") (TSX: TOY), a leading global children's entertainment company, today announced that it has entered into an agreement with a syndicate of lenders to increase, amend and extend its Credit Agreement (the "Agreement").

Under the Agreement, the Company's Revolving Credit Facility and Term Credit Facility were restructured into a single five-year revolving facility (the "Facility"), and the total capital available was increased from US$280 million to US$510 million. The new maturity date of the Facility is December 2021.

The Company intends to draw against the Facility to fund growth opportunities, including potential acquisitions.

"We have grown dramatically since our initial public offering in July 2015, completing five separate acquisitions. This enhancement to our Agreement provides us with significantly stronger liquidity as we seek out further opportunities to create value for our shareholders."

In addition to HSBC, the syndicate included RBC, TD, CIBC, National Bank, BMO, EDC and Raymond James.

As at September 30, 2016, the Company had a total of US$107.9 million available under the Revolving and Term Facilities of its Credit Agreement.
