AmilPar Acquires Saude Excelsior

RIO DE JANEIRO, Sept. 14 /PRNewswire-FirstCall/ -- Amil Participacoes S.A. ("Amilpar") (BM&FBovespa: AMIL3), in accordance with CVM Instruction 358, of January 3, 2002, informs that it signed today through its subsidiary Amil Assistencia Medica Internacional S.A. ("Amil"), a Purchase Agreement with the controlling shareholders of Excelsior Med Ltda. ("Saude Excelsior") for the acquisition and transference of the totality of the representative quotas of Saude Excelsior's capital.

The amount to be paid for the acquisition, subject to confirmation after the auditing process, is R$ 50 million and should be paid as follows: (i) R$ 2 million at the contract signature; (ii) 25% of the amount after ANS approval and (iii) the balance in 8 quarterly installments. The amounts described in items (ii) and (iii) will be adjusted for 85% of the variation of CDI (average interbank deposit rate in Brazil), from the contract's signing until the effective payment. Amil will take over Excelsior's liabilities and contingencies up to the limit of R$ 4 million.

Saude Excelsior 2010 annualized revenues correspond to approximately R$ 180 million. The company has a membership of approximately 132 thousand members located in the Northeast region of Brazil, especially in the states of Pernambuco (89 thousand members), Rio Grande do Norte (11 thousand members), Alagoas (29 thousand members) and Paraiba (3 thousand members). Excelsior's market share in Pernambuco is approximately 7%.

Before this acquisition, Amilpar's market share in Pernambuco was more than 8% and with the recent acquisition of ASL in Natal already accounts for approximately 76 thousand members or 17% of market share in the state of Rio Grande do Norte.

The completion of this acquisition is subject to the approval of the Brazilian Healthcare Agency - ANS ("Suspensive Condition") and the Brazilian System of Competition Defense (CADE).

This deal represents one more step of the Company towards growth and expansion in the Northeast region of Brazil.
