Cryoport Announces Proposed Public Offering of Common Stock

IRVINE, Calif., March 27, 2017 /PRNewswire/ -- Cryoport, Inc. (NASDAQ: CYRX, CYRXW) ("Cryoport" or the "Company") today announced that it intends to offer shares of common stock in an underwritten public offering under an effective shelf registration statement on file with the Securities and Exchange Commission (the "SEC"). The offering is subject to market and other conditions, and there can be no assurance as to whether or when the offering may be completed, or as to the actual size or terms of the offering. Cryoport also expects to grant the underwriters a 30-day option to purchase up to an additional 15% of the shares of common stock offered in the public offering to cover over-allotments, if any. All of the shares in the offering are to be sold by Cryoport.

The Company expects to use the net proceeds from the offering of the shares for business growth, including as working capital and for other general corporate purposes.

Cowen and Company, LLC and Needham & Company, LLC are acting as joint book-running managers for the offering.

The public offering will be made pursuant to a registration statement on Form S-3 that was previously filed with and declared effective by the SEC.
