SPX FLOW, Inc. Announces Proposed Offering of $600 Million of Senior Notes

CHARLOTTE, N.C., Aug. 3, 2016 /PRNewswire/ -- SPX FLOW, Inc. (NYSE: FLOW) (the "Company") announced that it intends to offer $600 million in aggregate principal amount of senior unsecured notes, subject to market conditions, to qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended (the "Securities Act"), and outside the United States in compliance with Regulation S under the Securities Act.

The notes will be fully and unconditionally guaranteed by the Company's domestic subsidiaries, subject to certain exceptions, on a senior unsecured basis. The issuer expects to use the net proceeds of this offering, together with borrowings under its domestic revolving credit facility, to repurchase and/or redeem and retire the $600 million outstanding aggregate principal amount of its 6.875% senior notes due 2017 pursuant to its concurrently announced tender offer, including prepayment premiums with respect to such purchase.

The notes will not be registered under the Securities Act, or any state securities laws, and may not be offered or sold in the United States absent registration, except pursuant to an exemption from the registration requirements of the Securities Act and applicable state securities laws.
