Ally Financial Announces Date of Annual Meeting of Stockholders
DETROIT, Aug. 14, 2014 /PRNewswire/ -- Ally Financial Inc. (NYSE: ALLY) today announced that it will conduct its 2015 annual meeting of stockholders on Thursday, May 28, 2015 at 9 a.m. EDT in Detroit, Michigan. Additional details will be provided in the company's proxy statement.
Under SEC Rule 14a-8, a shareholder who intends to present a proposal at the 2015 annual meeting and who wishes the proposal to be included in the proxy statement for that meeting must submit the proposal in writing to the Corporate Secretary of Ally Financial at 200 Renaissance Center, Mail Code 482-B09-C24, Detroit, Michigan 48265. The proposal must be received no later than Dec. 7, 2014. The proposal must satisfy all applicable requirements of Rule 14a-8 and the company's bylaws.
With respect to shareholder nominees for director election at the 2015 annual meeting and shareholder proposals for consideration at the 2015 annual meeting that are not submitted for inclusion in proxy materials under Rule 14a-8, written notice of nominations and proposals must be provided to the company in accordance with the company's bylaws. The notice must be delivered to Corporate Secretary between Nov. 29, 2014, and Jan. 28, 2015, and must comply with all applicable provisions of the bylaws.
