(NYSE: BKD) (the "Company") announced today the pricing of an underwritten public offering of 19,421,384 shares of its common stock by certain affiliates of Fortress Investment Group LLC ("Fortress") at a public offering price of $33.00 per share. Following the offering, Fortress will no longer own any shares of the Company. The Company will not sell any shares in the offering and will not receive any of the proceeds from the offering. Morgan Stanley & Co. LLC is acting as sole underwriter for the offering. The offering is being made pursuant to the Company's existing effective shelf registration statement that was previously filed with the Securities and Exchange Commission on June 7, 2011 and only by means of a prospectus and a related prospectus supplement. The offering is expected to close on June 2, 2014.
