Continental Resources, Inc. Announces Closing of 5% Senior Notes Exchange Offer

OKLAHOMA CITY, Nov. 14, 2012 /PRNewswire/ -- Continental Resources, Inc. (the "Company") (NYSE: CLR) announced today that it has completed its offer to exchange up to $1.2 billion aggregate principal amount of its 5% Senior Notes due 2022 registered under the Securities Act of 1933, as amended (the "Exchange Notes"), for any and all of its outstanding 5% Senior Notes due 2022, which were issued in a private placement on August 16, 2012 (the "Private Notes").

The registered exchange offer, which expired at 5:00 p.m., New York City time, on November 13, 2012, fulfilled the Company's obligations regarding the registration of its outstanding Private Notes, which were issued on August 16, 2012. Pursuant to a registration rights agreement entered into by the Company in connection with the sale of the Private Notes, the Company agreed to file a registration statement with the Securities and Exchange Commission relating to the exchange offer and Exchange Notes.

The Company exchanged all of the Private Notes, meeting the conditions of the exchange offer, which were tendered by the holders of those notes for Exchange Notes. The Exchange Notes contain substantially identical terms to the Private Notes.
