DOCDATA N.V. heeft in 2011 een nieuwe mijlpaal bereikt: de omzet is met 25,6% gestegen tot een "all-time-high" niveau van € 130,7 miljoen. Verder heeft de onderneming in 2011 bijna € 10 miljoen (bruto) geïnvesteerd in de realisatie van nieuwe opslagfaciliteiten, sorteersystemen, IT hardware en software voor het e-commerce service bedrijf Docdata en nieuwe hoogwaardige systemen voor het technologiebedrijf IAI industrial systems. Daarnaast is de personele bezetting van de DOCDATA bedrijven en het aantal fysieke locaties in 2011 flink uitgebreid. Dit heeft ertoe geleid dat DOCDATA de groei van haar klanten binnen de afgesproken service levels heeft kunnen realiseren.

Het e-commerce service bedrijf Docdata heeft het aantal transacties met 23% zien stijgen in 2011. Dit is zowel het gevolg van het succes van onze klanten in Nederland, waaronder bol.com, De-Bijenkorf en V&D, als van het succes van onze klanten in Duitsland, met name Zalando. Mede hierdoor is de omzet van het e-commerce service bedrijf in totaal gegroeid met 34%.
Het technologiebedrijf IAI industrial systems heeft in 2011 een omzet van €-15,7-miljoen gerealiseerd. Het orderboek is echter afgenomen van €-8,4-miljoen tot €-2,9-miljoen aan het eind van 2011. In 2011 is verder geïnvesteerd in de ontwikkeling van innovatieve productiesystemen voor de verschillende markten waarin IAI actief is of actief wil worden.
Media replicatie: een hoofdstuk afgesloten

Hiermee sluiten wij een belangrijk hoofdstuk voor onze onderneming af. Werd in het jaar 2000, op het toppunt van de markt, nog een kleine € 100 miljoen omzet gerealiseerd met de replicatie van CD's (de DVD bestond toen nog niet), in 2012 zal er geen enkele replicatieactiviteit meer aan de omzet bijdragen. Wij kunnen echter niet achterover gaan zitten; om voorop te blijven lopen zullen wij ons continu moeten blijven aanpassen."
Belangrijkste financiële resultaten en financiële positie
De belangrijkste financiële resultaten die door DOCDATA zijn gerealiseerd in 2011, alsmede de financiële positie, kunnen als volgt worden samengevat:
- De brutowinst is in 2011 gestegen met € 5,3 miljoen tot € 31,3 miljoen. De brutowinstmarge is daarbij licht gedaald tot net onder de 24%, met name als gevolg van de lagere brutowinstmarge die IAI industrial systems heeft gerealiseerd op de in 2011 afgeleverde systemen. De brutowinstmarge van het e-commerce service bedrijf Docdata is in 2011 verbeterd, met name als gevolg van een hogere efficiency.
- De EBITDA is gestegen van € 8,6 miljoen in 2010 naar € 13,9 miljoen in 2011, terwijl de afschrijvings- en amortisatiekosten in 2011 in totaal € 4,8 miljoen bedroegen ten opzichte van € 3,6 miljoen in 2010. Deze gestegen kosten zijn een rechtstreeks gevolg van de investeringen in 2010, met name in fulfilment activiteiten in Duitsland, in combinatie met een extra amortisatie van € 0,3 miljoen wegens impairment op goodwill betaald voor Hitura Ltd. (docdata commerce) in het Verenigd Koninkrijk. Het bedrijfsresultaat voor financieringsresultaat (EBIT) is daarmee in 2011 uitgekomen op €-9,1 miljoen ten opzichte van € 5,0 miljoen in 2010.
- De EBIT van het technologie bedrijf IAI industrial systems is met €-1,8-miljoen gedaald voornamelijk als gevolg van een kleiner aantal afgeleverde systemen, in combinatie met een lagere winstgevendheid in 2011 als gevolg van een andere mix van de in beide jaren afgeleverde systemen.
- Het e-commerce service bedrijf Docdata heeft in 2011 een €-5,9 miljoen hogere EBIT gerealiseerd. Hierbij moet wel in beschouwing worden genomen dat in 2010 ten laste van de EBIT een bedrag van € 2,1 miljoen aan incidentele ('non-recurring') kosten is genomen voor acquisitie- en advieskosten, aanloopverliezen en herstructurerings-kosten na acquisitie van de bedrijfsactiviteiten van de voormalige Dohmen Solutions Groep. In 2011 is voor aanvullende herstructureringskosten nog een bedrag van €-0,4-miljoen verantwoord. Exclusief deze eenmalige kosten in beide jaren is de EBIT van het e-commerce service bedrijf Docdata gestegen van €-3,1-miljoen in 2010 tot €-7,3 miljoen in 2011.
- Als rechtstreeks gevolg van de gestegen EBIT, is in 2011 een winst voor belastingen (exclusief aandeel in resultaat geassocieerde deelnemingen) van € 9,1 miljoen gerealiseerd ten opzichte van € 5,0 miljoen in 2010. De winstbelastingen zijn in 2011 met €-1,2 miljoen gestegen en op € 2,4 miljoen uitgekomen, resulterend in een gemiddelde belastingdruk van 26,1% ten opzichte van 23,4% in 2010. Per saldo is in 2011 een winst van € 6,8 miljoen gerealiseerd (2010: € 3,8 miljoen), waarmee de gewone winst per aandeel in 2011 op € 1,00 is uitgekomen (2010: € 0,58). Hierdoor heeft DOCDATA-haar sterke financiële positie met een solvabiliteitsratio van 58% op een gestegen balanstotaal behouden (31-december 2010: 49%).
- In 2011 is een kasstroom uit operationele activiteiten van €-11,4 miljoen gerealiseerd en is daarnaast € 1,7 miljoen aan contante geldmiddelen verkregen uit uitgeoefende opties. In totaal heeft de onderneming daarmee € 13,1 miljoen aan geldmiddelen beschikbaar gekregen in 2011, waarvan €-11,1 miljoen is aangewend ter financiering van de dividenduitkering van € 2,4 miljoen uit de winst over 2010 en ten behoeve van de investeringen voor in totaal een bedrag (na aftrek van investeringssubsidies) van €-8,7 miljoen. Het kasoverschot van de onderneming is in 2011 dus met € 2,0 miljoen gestegen van € 5,8 miljoen per 31 december 2010 tot €-7,8 miljoen per 31-december 2011. Daarnaast is het in 2010 ten laste van de kredietfaciliteit bij Commerzbank AG in Duitsland geleende bedrag van €-4,0 miljoen volledig in 2011 afgelost. De bestaande (niet gebruikte) kredietfaciliteit bij Deutsche Bank Nederland N.V. is in april 2011 verruimd van € 5,0 miljoen naar € 10,0 miljoen.

Michiel Alting von Geusau, CEO van DOCDATA N.V.: "De online markt is een 'mainstream' markt geworden, de sector professionaliseert en door de investeringen, die nodig zijn om de concurrentie het hoofd te bieden, wordt ook het belang van schaal en focus steeds groter. Nieuwe toetreders of marktpartijen die willen groeien zullen over voldoende (financiële) middelen moeten beschikken om dit te kunnen realiseren. Zo niet, dan is een bestaan als niche speler aan te raden. Focus is van belang omdat alleen de beste partijen overblijven en Docdata wil daar deel van uitmaken."
De verschuiving van de omzet van de detailhandel van het offline naar het online kanaal zal ook de komende jaren doorgaan. Dit zal mede gedreven worden door "nieuwe" productcategorieën die online gaan (zie Afbeelding 4). De verwachting is dat in 2020 een kwart tot een derde van de totale detailhandelsverkopen via internet zullen lopen. Ongeveer de helft van de online bestedingen bestaat hierbij uit fysieke producten. Bij het verkopen van fysieke producten geldt het "the winner takes it all" principe minder dan bij volledig digitale modellen. Dit heeft te maken met de relatief eenvoudige schaalbaarheid van digitale modellen.
Een voorbeeld van een nieuwe productcategorie is de "food" sector. Het online aandeel van non-food ligt binnen Europa boven de 5%; in food is dit aandeel op dit moment nog kleiner dan 1%. De online food markt moet dus van ver komen maar zal in de komende jaren een inhaalrace maken. Vanwege de marktontwikkelingen in de "online food" sector zullen wij in 2012 in deze markt investeren om onze kennis op te bouwen en gereed te zijn voor de verwachte groei. Elke sector stelt zijn eigen eisen en heeft zo zijn eigenaardigheden. Alleen door te doen leert men echt; dit past goed in onze "can do" mentaliteit.
Voor Docdata zijn de volgende marktontwikkelingen cruciaal:
- het "online" gaan van nieuwe productcategorieën;
- midden en opkomende segmenten worden steeds belangrijker;
- meer concurrentie op het gebied van e-commerce.
Vrijwel elk bedrijf gebruikt de mogelijkheden die internet biedt. Het aantal toetreders neemt duidelijk toe, dit betreft niet alleen aanbieders van producten op internet maar ook bedrijven die diensten aanbieden. Dit heeft enkele belangrijke gevolgen voor Docdata.
Enerzijds zijn er nieuwe toetreders gekomen die vergelijkbare diensten aanbieden als Docdata. Anderzijds zijn klanten op zoek naar meerdere partners die specifieke oplossingen kunnen bieden. Het "one stop shop" model is voor middelgrote en grote klanten minder interessant geworden; deze klanten willen voor elke dienstverlening de beste dienstverlener en zijn daarvoor bereid uit meerdere partners te kiezen.
De focus van Docdata ligt en zal blijven liggen op het aanbieden van een uitgebreid e-fulfilment dienstenpakket. Wij willen in de markt voor uitbestede e-fulfilment diensten in Europa een top-3 positie realiseren. Hiermee stappen we af van een full service model, zoals dat in de strategie 'Visie 2012: "Flywheel to Growth"' nog een uitgangspunt was. Voor het aanbieden van het full service model zullen wij samenwerken met de kwalitatief beste dienstverleners op specifieke gebieden zoals bijvoorbeeld online marketing en web development. Onze ambitie is om de volledige e-commerce waardeketen te begrijpen zodat wij onze partners de beste e-fulfilment service kunnen geven.
De kracht van Docdata ligt in onze enorm schaalbare en flexibele oplossingen waardoor wij voor onze klanten elke dag de hoogste leverbetrouwbaarheid kunnen garanderen en de ideale partner zijn voor start-ups en klanten die snel willen groeien.
Om voor te blijven op onze concurrenten zullen wij versneld investeren in IT-systemen, business analyse en efficiënte opslag- en verwerkingscapaciteit om onze e-fulfilment dienstverlening op een nog hoger niveau te brengen. Investeringen zijn nodig om de stijgende volumes aan te kunnen, nog sneller te kunnen schakelen bij piekvolumes, de analyse capaciteit te vergroten en nieuwe locaties binnen Europa toe te voegen, zowel voor uitgaande als retourstromen.
De belangrijkste strategische doelstellingen voor de komende jaren zijn:
- realiseren top-3 positie binnen Europa voor uitbestede e-fulfilment diensten;
- autonome groei door succesvolle partnerships met bestaande klanten;
- contracteren nieuwe succesvolle klanten;
- strategische partnerships met bedrijven die complementaire diensten aanbieden;
- binnentreden in nieuwe geografische markten (o.a. Frankrijk, Italië);
- binnentreden in nieuwe productgebieden.
Technologiebedrijf IAI industrial systems
Marktonderzoeken voorspellen dat de vraag naar personalisatie-apparatuur voor paspoorten en ID-kaarten de komende jaren grotendeels van buiten Europa zal komen en wel voornamelijk uit Azië en Zuid-Amerika. Dezelfde onderzoeken voorzien een afvlakkende groei van de markt voor documentbeveiliging in de komende drie jaar, gevolgd door een stabilisatie van de markt. Daarnaast blijken projecten in de markt van documentbeveiliging vaker vertraagd te worden door oorzaken bij de overheden die de aanbestedingen doen. De huidige wereldwijde financiële crisis is een belangrijke oorzaak hiervan.
Belangrijke marktontwikkelingen voor IAI zijn:
- de groei in de National eID markt zal afnemen;
- Azië zal een steeds belangrijkere plaats innemen in de eID markt in de komende jaren;
- een verdergaande tendens van het mechanisch bewerken naar het middels laser bewerken van materialen in andere marktgebieden.
Om aan bovenstaande marktontwikkelingen het hoofd te bieden heeft IAI zijn verkoopactiviteiten in de regio's buiten Europa opgevoerd, voornamelijk in Azië en Zuid-Amerika. In genoemde regio's is vooral behoefte aan systemen voor de-centrale personalisatie. Deze omvatten slechts enkele bewerkingen, zoals lasergraveren en het programmeren van een chip. Daardoor zijn deze systemen kleiner, goedkoper en geschikt voor desktopgebruik op meerdere uitgiftelocaties zoals politiebureaus en gemeentehuizen. Bij de-centrale personalisatie zijn wel meer systemen nodig dan wanneer een land voor centrale personalisatie kiest. De lagere prijs van de-centrale systemen wordt goedgemaakt door de grotere aantallen zodat het openen van dit marktsegment een belangrijke uitbreiding van IAI's afzetmogelijkheden betekent. Daarnaast zal IAI blijven investeren in productverbeteringen en, waar zinvol, in het uitbreiden van de productportfolio.
Voor verdere groei is IAI ook op activiteiten in andere markten aangewezen. In 2011 werd een innovatief systeem voor het contactloos solderen van backcontact zonnecellen in zonnepanelen succesvol opgeleverd en in bedrijf genomen. Helaas kampen veel ondernemingen in de Solar markt met sterk dalende prijzen van zonnecellen en -modules en hebben moeite overeind te blijven. In dat klimaat is er weinig bereidheid te investeren in nieuwe technologie. Daarnaast is IAI nauw betrokken in de ontwikkeling van nieuwe toepassingen in de markt voor dieselinjectie spruitstukken en een ontwikkeling in de Aerospace markt. In beide ontwikkelingstrajecten zal IAI in 2012 verder investeren.
De strategische doelstellingen van IAI voor de komende jaren zijn:
- het realiseren van autonome groei in de markt voor documentbeveiliging door wereldwijde verkoopactiviteiten en uitbreiding en vernieuwing van ons producten portfolio;
- het opbouwen van een positie in andere markgebieden waar IAI systemen met unieke oplossingen kan aanbieden;
- het continu handhaven van een hoog niveau van onderzoek en (product)ontwikkeling om bovenstaand mogelijk te maken;
- het deelnemen in andere bedrijven daar waar dat bovenstaande doelstellingen ondersteunt.
Verwerving meerderheid in deelneming FEHA LaserTec Halle GmbH
Sinds 2009 bezit IAI industrial systems een minderheidsbelang van 24,9% in FEHA LaserTec Halle GmbH. Deze onderneming ontwikkelt en produceert gespecialiseerde lasers, die door IAI als component worden ingekocht om geïnstalleerd te worden in diverse systemen (o.a. ten behoeve van MicroPerf®). Voor het eind van het eerste kwartaal van 2012 zal IAI industrial systems de eigendom verwerven van het volledige geplaatste aandelenkapitaal in FEHA. De activiteiten en resultaten van FEHA zullen per de transactiedatum in de consolidatie worden opgenomen. Over 2011 heeft FEHA een omzet behaald van € 1,6 miljoen met gemiddeld 19 werknemers (18,6 FTE). IAI beoogt hiermee haar positie in verschillende interessante markten voor het bewerken van materialen en producten middels specifieke lasertoepassingen te verstevigen.
Resultaten 2011 per bedrijfsonderdeel
E-commerce service bedrijf Docdata

We hebben 'state-of-the-art' e-fulfilment centra gerealiseerd in zowel Groβbeeren (Duitsland) als Waalwijk (Nederland) met een opslagcapaciteit elk van vele miljoenen producten en een verwerkingscapaciteit van meer dan 100.000 producten per dag. We gaan door op de ingeslagen weg en zullen het investeringsniveau verder opschroeven om de hoogste service levels aan onze klanten te kunnen blijven garanderen."
Docdata realiseerde wederom een sterke stijging van het aantal unieke transacties; in 2011 werden ruim 36 miljoen unieke transacties verwerkt ten opzichte van bijna 30-miljoen in 2010 (stijging 23%). De gecombineerde omzet van de e-commerce services (bestaande uit de commerce, fulfilment en payment activiteiten) is autonoom gestegen met € 32,8 miljoen (+-42%). De groei in 2011 is voor het grootste gedeelte gerealiseerd door onze bestaande klanten. Het bedrijfsresultaat van Docdata is ten opzichte van €-1,0-miljoen in 2010 fors gestegen tot € 6,9 miljoen in 2011. Hierbij dient overigens wel het effect van de eenmalige herstructureringskosten in 2010 (€ 2,1 miljoen) en 2011 (€-0,4-miljoen) in beschouwing te worden genomen.
Contracten met grotere klanten
Zoals eerder gemeld hebben wij met bol.com een nieuw vijfjarig contract kunnen tekenen in 2011. Hierdoor konden wij het besluit nemen om te investeren in een volledig nieuw en zeer geavanceerd e-fulfilment centrum in Waalwijk. Met Zalando hebben wij recent een overeenkomst gesloten voor de komende drie jaar. Hierbij zal na een verdere groei in 2012 het volume vanaf 2013 gaan afnemen vanwege het in gebruik nemen door Zalando van een eigen logistiek centrum. Met één van onze grotere klanten hebben wij eind 2011 het contract beëindigd. Door de ontwikkelingen in de e-commerce markt merken wij een gestage stijging van het aantal prospects, waarbij het uiteraard de belangrijkste vraag is welke daarvan in staat zullen blijken om in de toekomst uit te groeien tot succesvolle e-commerce partners.
Technologiebedrijf IAI industrial services
Het technologiebedrijf IAI industrial systems kon de omzet van het recordjaar 2010 niet vasthouden en heeft in 2011 een 14% lagere omzet gerealiseerd. IAI heeft in 2011 geïnvesteerd in de ontwikkeling van nieuwe systemen en in het versterken van de organisatie door het invoeren van een ERP systeem en daarmee gekoppelde financiële software.
IAI leverde vooral tegen het einde van het jaar een aantal grotere systemen voor centrale personalisatie af. Daarnaast werden er ook systemen voor de-centrale personalisatie geleverd. De ontwikkeling van deze systemen werd begin 2011 afgesloten en opende een nieuw marktsegment voor IAI: de markt van de-centrale personalisatie.
Het orderboek omvat eind 2011 orders met een omzetwaarde van slechts €-2,9-miljoen (2010: €-8,4 miljoen). De orderportefeuille van IAI loopt op dit moment ver achter, maar de pijplijn met prospects is nog steeds goed gevuld.
Personeel en organisatie
Met de benoeming in zowel Duitsland als het Verenigd Koninkrijk van een nieuwe Managing Director zijn bijna alle management teams momenteel weer op volle sterkte.
In Duitsland is de heer Bernard Winterhalter en in het Verenigd Koninkrijk is mevrouw Laura Wilkinson-Lough aangesteld. Het vaste personeelsbestand is in 2011 als gevolg van de gerealiseerde groei toegenomen van 813 medewerkers (759-FTE) aan het begin van 2011 tot 1.116-medewerkers (1.070-FTE) aan het eind van het jaar.
Vooruitzichten
Na twee jaar van sterke groei verwachten wij een relatief beperkte omzetgroei in 2012. In 2012 zal de focus liggen op een verdere investering in bestaande en nieuwe bedrijven om onze groeidoelstellingen voor 2013 tot 2015 waar te kunnen maken.
De focus van het e-commerce service bedrijf Docdata ligt op de verdere ontwikkeling van onze positie in de Benelux, Duitsland en het Verenigd Koninkrijk. Daarnaast zullen wij in 2012 de eerste stappen zetten om in andere Europese markten actief te worden. Op basis van onze huidige klantenbasis verwachten wij voor 2012 een verdere groei. Deze groei zal naar verwachting wel lager uitvallen dan in 2011. Dit geeft ons de mogelijkheid om verdere efficiencyverbeteringen door te voeren.
De focus voor het technologiebedrijf IAI industrial systems blijft liggen op het binnenhalen van orders (wereldwijd) in bestaande en specifiek gedefinieerde markten. Met het oog op-het lage niveau van de orderportefeuille per 31 december 2011, in-combinatie met de lange duur van de realisatieperiode vanaf het moment van het verkrijgen van een order tot het moment van daadwerkelijke aflevering en installatie van systemen bij de klant, verwachten wij voor het hele jaar 2012 een lagere omzet en lagere resultaten.
Dividend
Het management van DOCDATA N.V. zal op de jaarlijkse Algemene Vergadering van Aandeelhouders aan de aandeelhouders voorstellen om, overeenkomstig het bepaalde in artikel-28 van de statuten van DOCDATA N.V., een besluit te nemen tot het doen van een dividenduitkering uit de winst over het jaar 2011 aan de houders van gewone aandelen ten bedrage van € 0,50 per gewoon aandeel. Op de uitkering zal dividendbelasting worden ingehouden, tenzij door de aandeelhouder een bewijs kan worden overlegd waaruit blijkt dat deze aanspraak kan maken op de deelnemingsvrijstelling.
Het geplaatst aandelenkapitaal van DOCDATA N.V. bestaat per 31 december 2011 uit-7.000.000 gewone aandelen met een nominale waarde van € 0,10 per aandeel. DOCDATA-N.V. houdt momenteel 106.142 (1,52%) van deze geplaatste gewone aandelen ter afdekking van het personeelsoptieplan, alsmede ter financiering van toekomstige overnames. Gewone aandelen in eigen bezit worden niet meegenomen in de-bepaling van de winst per aandeel. Indien de Algemene Vergadering van Aandeelhouders, welke zal worden gehouden op woensdag 30 mei 2012 te Waalwijk, instemt met dit voorstel zal op de door anderen dan door de vennootschap gehouden gewone aandelen in totaal een bedrag van €-3,5-miljoen als dividend uit de winst over 2011 worden uitgekeerd in mei 2012. Als gevolg van deze uitkering zal de solvabiliteit van-de onderneming met enkele procentpunten dalen.
Het door de Algemene Vergadering van Aandeelhouders vastgestelde dividendbeleid van DOCDATA N.V. is gericht op het realiseren van een hoog dividendrendement, waarbij een pay-out ratio van tenminste 50% het uitgangspunt zal zijn. Hierbij wordt rekening gehouden met de liquiditeits- en solvabiliteitspositie die vereist zijn voor het ten uitvoer brengen van de strategie. Het management van DOCDATA N.V. is van mening dat de bijzonder sterke liquiditeits- en solvabiliteitspositie van de onderneming de voorgestelde dividenduitkering van €-0,50 per aandeel mogelijk maken.

- Total combined revenue of the Docdata e-commerce services (commerce, payments and fulfilment) increased with €-32.8 million (+42%), including a positive foreign exchange effect of €-0.2 million. This combined revenue increased due to autonomous growth. The activities of the former Dohmen Solutions Group, acquired per 16 April 2010, contributed 12 months to this revenue in 2011 (8.5 months in 2010). Revenue of the media replication activities decreased with €-3.6 million in total, of which €-2.5 million due to the sale of all shares of docdata media GmbH on 21-July 2010; the other €-1.1 million of this decrease was due to declining revenue from the media replication activities in Tilburg, which were sold as per 1 January 2012 to Replifact Media B.V. As of this date, Docdata no longer has media replication activities.
- IAI industrial systems' revenue decreased € 2.5 million (-/-13.7%). The revenue for 2011 was lower due to a lower number of system deliveries in 2011. The revenue for 2010 included the delivery of the second part of the Bulgarian order (consisting of a number of decentralised personalisation systems). The revenue in 2011 was for a large part realised through the delivery of security systems for (amongst others) Algeria, Ireland, Sweden and Uzbekistan and one system for the Solar market.

- The gross profit of the e-commerce service company Docdata increased with € 7.0 million (+37%). The combined gross profit of the e-commerce services contributed € 25.7 million compared to € 18.1 million in 2010, representing an increase of 42%, which is mainly the result of the growth in the number of transactions in Germany and the Netherlands. The higher gross profit margin is predominantly caused by a much more efficient fulfilment operation in Germany, which improvement has partly been offset by the effect of a lower margin on purchased goods (e.g. transport and Corporate Fashion) and higher depreciation charges (mainly) in Germany in 2011 as a result of the 2010 capital expenditure.
- The gross profit of IAI industrial systems decreased with € 1.7 million (-/-25%) due to lower sales and a different sales mix compared to 2010 (also causing the decrease in gross profit margin). The systems' delivery of the second part of the Bulgarian order in the first half-year 2010 had a major effect on the higher gross profit of 2010.

- The operating profit of the e-commerce service company Docdata increased with € 5.9 million, resulting from a €-7.0 million higher gross profit, partly offset by € 1.1 million higher selling and administrative expenses. Following the acquisition of the activities from the former Dohmen Solutions Group per 16 April 2010, restructuring costs and start-up losses were recorded resulting in a non-recurring EBIT loss for an amount of € 2.1 million in 2010 (recognised both under selling and administrative expenses). In 2011 further restructuring costs were recorded for an amount of € 0.4 million. Excluding these non-recurring (restructuring) expenses, EBIT increased with €-4.2-million from € 3.1 million to €-7.3 million in 2011.
- The operating profit of IAI industrial systems decreased with € 1.8 million. This decrease is the combined effect of a lower gross profit of € 1.7 million and increased selling and administrative expenses of € 0.1 million. Selling and administrative expenses increased mainly as a result of higher depreciation costs for non-production related equipment.
Net financing income / (expenses
Net financing income in 2011 amounted to € 7 thousand compared to net financing expenses of €-40 thousand in 2010. This increase of € 47 thousand is mainly caused by a higher interest income due to a better cash position in 2011. The bank overdraft of € 4.0 million from Commerzbank AG drawn in 2010 has been fully repaid in 2011.
Income tax expense
DOCDATA's effective tax rate in 2011 was 26.1% with an income tax expense of €-2.4 million on a profit before income tax of € 9.1 million (excluding share of profits of associates). In 2010, the profit before income tax amounted to €-5.0-million and the income tax profit amounted to €-1.2 million (effective tax rate: 23.4%). The increased effective tax rate is predominantly caused by the profit before income tax of the German operations which was substantially higher in 2011 than in 2010.
The income tax expense in 2011 is the result of the following tax treatments of the results per country, combined with an (in total minor) effect of some entries for the valuation of deferred tax assets per 31-December 2011 in relation to the realisation of net operating losses in the Netherlands and Germany, and some differences between commercial and fiscal treatment of certain assets and profit and loss items:
- In the Netherlands, income taxes are recorded at a corporate income tax rate of 25.0% on the taxable income for the Dutch fiscal entity as well as for the Dutch subsidiaries that are not part of this fiscal entity (2010: 25.5%).
- In the United Kingdom, income taxes are recorded against a corporate income tax rate of 27.0% (2010: 28.0%).
- In Germany, income taxes are recorded at a corporate income tax rate of in general between 26% and around 30% on taxable income for the German entities when and where applicable, depending on the region in Germany of their legal seat (e.g. Berlin, Munich or Münster region).
Liquidity and capital resources
The General Annual Meeting of Shareholders held on 15 June 2011 approved the proposal to distribute a dividend of € 0.35 per ordinary share outstanding (excluding own shares held by the Company), which had a decreasing impact of € 2.4 million on retained earnings within the equity of the Company in 2011.
In 2011, the Group realised net cash from operating activities of €-11.4-million (2010: €-13.3 million). The higher net cash from operating activities in 2010 did include repayment by the Dutch tax authorities of € 1.3 million prepaid income taxes for the year 2009 (due to the recording by the Dutch fiscal entity of an income tax credit on the liquidation loss for docdata media Ltd. in the UK), as well as € 1.5 million of the carry back to income taxes from 2006. Without these non-recurring items in 2010, net cash from operating activities has improved in 2011 by € 0.9 million.
In addition to the net cash from operating activities, cash was received from the exercise of share options in the amount of €-1.7-million, resulting in a total cash-in of € 13.1 million in 2011. With these funds, the Group has paid in 2011 an amount of € 2.4 million for the 2010 dividend and invested a total (net) amount of €-8.7 million (after deducting investment subsidies), containing €-7.7 million in property, plant and equipment (mainly warehousing equipment in Waalwijk and Groβbeeren), and € 1.0 million in intangibles (IT development costs for the payment platform and development costs by IAI for new generation security systems). As a result, the net cash position of the Group has increased with €-2.0 million to € 7.8 million per 31 December 2011 (31 December 2010: €-5.8-million). Furthermore, the Group fully repaid in 2011 the € 4.0 million credit facility drawn with Commerzbank AG in 2010 (to temporarily finance the acquisition and post-transaction working capital and restructuring of the activities of the former Dohmen Solutions Group and the investments in warehousing in Germany). The existing (unused) credit facility with Deutsche Bank Nederland N.V. has been enlarged from €-5.0 million to € 10.0 million in April 2011.
In 2011 238,000 share options were exercised from the 2006, 2007 and 2008 series at an average exercise price of € 7.16 per share. The underlying shares have been delivered by the Company from the shares in stock. The proceeds of € 1.7 million have been credited to equity ('Reserve for own shares'). Per 31 December 2011, the Company had 106,142 own shares in stock (1.52%), which number is the same as the number of own shares currently owned by the Company per 29-February 2012. Per 31 December 2011 a total number of 116,750 share options are outstanding; 29,000 share options of the 2008 series (exercise price: € 6.83 per share) that are exercisable and 'in-the-money', and 87,750 share options of the 2009 series (exercise price: € 6.38 per share) that will vest on 29 May 2012. Furthermore, a total number of 68,039 Performance Shares are outstanding per 31 December 2011, which have been granted conditionally in 2010 (22,284 Performance Shares; vesting date: 14 May 2013) and 2011 (45,755 Performance Shares; vesting date: 17 June 2014).

6.1 Reporting entity
DOCDATA N.V. (referred to as "DOCDATA" or the "Company") is a company domiciled in Waalwijk, the Netherlands. The consolidated financial statements of DOCDATA N.V. as at and for the year ended 31 December 2011 comprise DOCDATA N.V. and its subsidiaries (together referred to as the "Group") and the Group's interest in associates and jointly controlled entities.
The consolidated financial statements of the Group as at and for the year ended 31 December 2011 will be published on 18 April 2012. The consolidated financial statements of the Group as at and for the year ended 31 December 2010 are available upon request from the Company's registered office at Energieweg 2, 5145 NW in Waalwijk, the Netherlands, or at the Company's corporate website, http://www.docdatanv.com.
6.2 Statement of compliance
These-consolidated financial statements do not include all of the information required for full annual financial statements, and should therefore be read in conjunction with the consolidated financial statements of the Group as at and for the year ended 31 December 2010.
6.3 Significant accounting policies
The consolidated financial statements of the Group are prepared in accordance with the International Financial Reporting Standards as adopted by the European Union ("IFRS"). The accounting policies applied by the Group in these consolidated financial statements are the same as those applied by the Group in its consolidated financial statements as at and for the year ended 31-December 2010. For a summary of the significant accounting policies under IFRS, please refer to the Group's Annual Report for the financial year ended 31-December 2010.
6.4 Management representations
In the opinion of the management, these consolidated financial statements include all adjustments necessary for a fair presentation of the financial position, operating results and cash flows of all reporting periods herein. All such adjustments recorded in the financial year ended 31 December 2010 are of a normal recurring nature, except for non-recurring expenses related to the acquisition of the assets of the former Dohmen Solutions Group (including acquisition costs, advisory fees, restructuring expenses, etc.). Non-recurring adjustments for the following topics have been recorded in the financial year ended 31 December 2011:
- impairment of goodwill paid for the acquisition of Hitura Ltd. in the UK (docdata commerce Ltd.);
- reporting as 'assets and liabilities classified as held for sale' of certain assets and liabilities of docdata media B.V. in Tilburg (the Netherlands), following the sale and purchase agreement dated 18-November 2011 with Replifact Media B.V. on the sale of all the remaining Docdata media replication business activities per 1-January 2012;
- valuation of corporate income tax assets.
6.5 Consolidation
In the consolidated financial statements for the year ended 31 December 2011 and the consolidated financial statements for the year ended 31 December 2010, the following treatment has been applied for the following incorporations:
- docdata e-business GmbH: per 16 August 2011, Docdata Document Services GmbH in Münster, Germany (formerly named 'Pegasus Mail GmbH'), has ceased to exist as this legal entity was legally merged since this date into its 100% parent company, docdata e-business GmbH in Münster. All assets and liabilities, as well as income and expenses, of both legal entities were combined in the 'remaining' subsidiary per the merger date;
- docdata fulfilment GmbH: per 16 August 2011, docdata fulfilment GmbH in Groβbeeren, Germany has ceased to exist as this legal entity was legally merged since this date into its sister company, Docdata e-Commerce Services GmbH in München. All assets and liabilities, as well as income and expenses, of both legal entities were combined in the 'remaining' subsidiary per the merger date. On 17 August 2011 the legal name was changed into Docdata Fulfilment GmbH; the legal seat still is in München;
- IAI excimer systems B.V.: per 1 April 2010, IAI industrial systems B.V. has incorporated a new legal entity for a Dutch subsidiary, IAI excimer systems B.V. in Veldhoven. The balance sheet and income statement of IAI excimer systems B.V. have been included in the DOCDATA consolidation starting per the date of incorporation;
- Docdata Assets GmbH, Docdata e-Commerce Services GmbH, Docdata Fashion Services GmbH: these three German subsidiaries, wholly owned by docdata germany GmbH, have been incorporated (based on new shelf companies, "Blitz GmbH") to provide the legal structure enabling the asset purchase of the former Dohmen Solutions activities per 16-April 2010. The balance sheet and income statement of these three GmbH's have been included in the DOCDATA consolidation starting per this date;
- Docdata media GmbH: all shares in this German subsidiary, wholly owned by docdata germany GmbH and part of the e-commerce service company Docdata, were sold on 21 July 2010 to the German investment fund Deutsche Unternehmensbeteiligungen GmbH (DUBAG) in Munich. The balance sheet and income statement of docdata media GmbH were excluded from the DOCDATA consolidation starting per this date. The media replication activities of this German subsidiary were fully written off at fair value by the Group per the end of the 2009 financial year. The remaining book value of these assets and liabilities are reported as assets and liabilities classified as held for sale in the Group's Annual Report for the financial year ended 31-December 2009.

The book value of property, plant and equipment has increased with € 3.7 million in 2011 due to capital expenditure for €-7.7-million, depreciation charges for €-3.3-million and a transfer to assets classified as held for sale for € 0.8 million. Capital expenditure in 2011 relates for € 4.7 million to the investment by docdata fulfilment B.V. in the new state-of-the-art logistic centre in Waalwijk, the Netherlands. Other capital expenditure for € 3.1 million mainly consists of further investments in fulfilment warehouses in Germany, predominantly in the Berlin region (€ 2.1 million; net of investment subsidies) and in other (longer existing) fulfilment warehouses in Waalwijk (€-0.7-million). At 31-December 2011, no other extra capital expenditure was committed in addition to the amount accounted for 'under construction'. The transfer to assets classified as held for sale fully consists of the remaining book value per 31-December 2011 of the land and building at Dr.-Paul Janssenweg 140 in Tilburg, formerly used by the media replication business, which property was put for sale mid December.

The book value for intangible assets has decreased with € 0.3 million in 2011, due to the following:
- capital expenditure in IT platforms and development costs (€ 1.1 million in total) for investments in the IT-platform for Docdata Payments (€ 0.6 million in total) and investment by IAI industrial systems in costs for the development of second generation systems (e.g. BookMaster One) for the security market (€ 0.5 million);
- amortisation charges for IT platforms, customer contracts and development costs (€ 1.2 million in total);
- impairment of goodwill paid for Hitura Ltd. (docdata commerce) in the UK (€ 0.3 million);
- currency exchange profits (€ 0.1 million) on the valuation of the intangible assets with an original value in British pounds (i.e. related to the Braywood and Hitura acquisitions).

The book value of inventories decreased € 1.3 million in 2011, which is the combined effect of decreased work in progress at IAI industrial systems (€-2.1 million), a higher finished goods inventory level (€ 1.2 million) and a lower inventory level for raw and auxiliary materials (€-0.4-million). The higher finished goods inventory level is predominantly caused by a large purchase of company clothing by Docdata Fashion Services GmbH in 2011. The Company only bears a limited inventory risk on this stock, as the clients have accepted their obligation to take over this inventory should they terminate their contract with Docdata Fashion Services GmbH.
IAI industrial systems' order book developed in 2011 from €-8.4-million at 31 December 2010 to €-2.9-million at 31 December 2011 resulting from systems' deliveries in 2011 with revenue of €-15.7-million and new orders booked with a total sales value of €-10.2-million.
