Express, Inc. Announces New $100 Million Share Repurchase Program
COLUMBUS, Ohio, Dec. 9, 2015 /PRNewswire/ -- Express, Inc. (NYSE: EXPR), a specialty retail apparel chain operating more than 650 retail and factory outlet stores, today announced that its Board of Directors has approved a new share repurchase program for up to $100 million of the Company's outstanding common stock. This new program succeeds the Company's prior share repurchase program, which expired on November 28, 2015 and under which the Company repurchased approximately 2.1 million shares for a total cost of $40 million. Share repurchases will be funded using the Company's available cash, including cash on hand or cash available under the Company's revolving credit facility, and are expected to be executed over the next 12 months.
The Company may repurchase shares of its outstanding common stock from time to time on the open market, including through Rule 10b5-1 plans, in privately negotiated transactions, through block purchases, or otherwise in compliance with applicable laws, including Rule 10b-18 of the Securities Exchange Act of 1934, as amended. The timing and amount of stock repurchases will depend on a variety of factors, including business and market conditions as well as corporate and regulatory considerations. The share repurchase program may be suspended, modified, or discontinued at any time and the Company has no obligation to repurchase any amount of its common stock under the program.
