First Reserve Announces Agreement To Sell Deep Gulf Energy

STAMFORD, Conn., HOUSTON and LONDON, Aug. 6, 2018 /PRNewswire/ -- First Reserve, a leading global private equity investment firm exclusively focused on energy, today announced an agreement to sell the Deep Gulf Energy companies ("DGE"), a deepwater oil and gas exploration and development business operating in the Gulf of Mexico, to Kosmos Energy (NYSE/LSE: KOS) for a total consideration of $1.225 billion, subject to post-closing adjustments, to First Reserve and other shareholders. Subject to the receipt of regulatory approval and the satisfaction of customary closing conditions, the transaction is expected to close around the end of the third quarter of 2018.

With a commitment to backing experienced management teams through the Firm's extensive global network, First Reserve first backed the Deep Gulf Energy team in 2005.  Since inception of the franchise, Deep Gulf Energy has successfully employed a disciplined strategy focused on projects in small- to mid-sized fields with subsea tiebacks to existing infrastructure.  Deep Gulf Energy's management team is made up of a core group of mostly ex-Mariner Energy founders and personnel with a total of over 300 years of E&P experience including over 175 years in the deepwater Gulf of Mexico.
