Jaguar Land Rover Automotive plc Announces Early Results of Offer to Purchase and Consent Solicitation for its $410,000,000 8.125% Senior Notes due 2021
LONDON, March 17, 2015 /PRNewswire/ -- Jaguar Land Rover Automotive plc (the "Company"), the parent company of the Jaguar Land Rover group of companies and a subsidiary of Tata Motors Limited, announces today the early results of its previously announced offer to purchase for cash (the "Offer") any and all of its outstanding 8.125% Senior Notes due 2021 (the "Notes") and related solicitation (the "Consent Solicitation") of consents (the "Consents") to eliminate substantially all of the restrictive covenants and certain event of default and related provisions of the Notes and the indenture dated 19 May 2011 (the "Indenture) under which the Notes were issued (the "Proposed Amendments"), as more fully described in the offer to purchase and consent solicitation statement dated 3 March 2015 (the "Statement"). The Offer and Consent Solicitation are scheduled to expire at 11:59 p.m., New York time, on 30 March 2015, unless extended or terminated by the Company (the "Expiration Date").
As of 5:00 p.m., New York time, on 16 March 2015 (the "Early Tender Date"), the Company has received valid tenders and Consents of $326,117,000 in aggregate principal amount of Notes representing approximately 79.54% of the Notes outstanding at the commencement of the Offer and Consent Solicitation.
Withdrawal rights for the Offer and Consent Solicitation have expired and have not been extended. The Company intends to accept for purchase all Notes validly tendered as of the Early Tender Date and not validly withdrawn, on 17 March 2015 (such date, as may be extended, the "Early Settlement Date"). Holders who validly tendered (thereby delivered Consents) prior to the Early Tender Date will receive the Total Consideration, which is equal to an amount of $1,123.52 per $1,000 principal amount of Notes.
Holders of Notes who have not already tendered their Notes and delivered Consents may do so at any time on or prior to the Expiration Date, but as the Early Tender Date has passed, such Holders will only be eligible to receive $1,093.52 per $1,000 of principal amount of Notes (the "Late Consideration"), paid in cash, which is equal to the Total Consideration (as defined in the Statement) minus an amount of $30 per $1,000 principal amount of Notes (the "Early Tender Premium"), on 31 March 2015 (such date, as may be extended, the "Final Settlement Date").
Based on the receipt of Consents from Holders of a majority in aggregate principal amount of Notes outstanding, the Company, the Guarantors and the Trustee entered into a supplemental indenture (the "Supplemental Indenture") on 16 March 2015 to adopt the Proposed Amendments. The Proposed Amendments become operative on or about the date hereof. Holders whose Notes are accepted for purchase in the Offer will also receive accrued and unpaid interest for such purchased Notes from the last interest payment date to, but not including, the Early Settlement Date or the Final Settlement Date, as applicable, equivalent to $27.53 per $1,000 in principal amount of Notes accepted in respect of the Early Settlement Date and $30.69 per $1,000 in principal amount of Notes accepted in respect of the Final Settlement Date. Any Notes not tendered and purchased pursuant to the Offer and Consent Solicitation will remain outstanding and the Holders will be subject to the terms of the Supplemental Indenture even though they did not tender their Notes and deliver Consent to the Proposed Amendments.
Any extension, amendment or termination of the Offer and Consent Solicitation will be followed promptly by a public announcement thereof. The announcement in the case of an extension of the Offer and Consent Solicitation will be issued no later than 9:00 a.m., New York time, on the next business day after the previously scheduled Expiration Date.
The Offer and Consent Solicitation are subject to a number of conditions that are set forth in the Statement. Subject to applicable law, the Company may also terminate the Offer and Consent Solicitation at any time before the Expiration Date in its sole discretion. These conditions are more fully described in the Statement.
