Chairman Cole currently owns approximately 47% of the outstanding shares of Kenneth Cole common stock, which represents approximately 89% of the voting power. Under the going private proposal, Chairman Cole seeks to acquire all of the outstanding shares of Kenneth Cole common stock for $15.00 per share.
