Oasis Midstream Partners LP Announces Pricing of Public Offering of Common Units

HOUSTON, Nov. 8, 2018 /PRNewswire/ -- Oasis Midstream Partners LP (NYSE: OMP) ("Oasis Midstream" or the "Partnership") announced today that it has priced an underwritten public offering of 2,000,000 common units representing limited partnership interests ("common units") for total gross proceeds (before the underwriters' discounts and commissions and estimated offering expenses) of $40,000,000. The Partnership intends to use the net proceeds from the offering to fund a portion of the purchase price for the previously announced acquisition from Oasis Petroleum Inc. (NYSE: OAS) ("Oasis Petroleum") of an additional 15% limited liability company interest in Bobcat DevCo LLC and an additional 30% limited liability company interest in Beartooth DevCo LLC (the "Acquisition"). The offering is not conditioned on the consummation of the Acquisition, and if the Acquisition does not occur, the net proceeds will be used for general partnership purposes, which may include, among other things, debt repayment, acquisitions, capital expenditures and additions to working capital.  The Partnership granted the underwriters a 30-day option to purchase up to 300,000 additional common units.  The offering is expected to close November 14, 2018.

Morgan Stanley and J.P. Morgan are acting as joint book-running managers for the offering.
