Old Republic Prices $500 Million Convertible Senior Note Offering

CHICAGO, March 2, 2011 /PRNewswire/ -- Old Republic International Corporation (NYSE: ORI), today announced the pricing of a public offering of $500 million aggregate principal amount of 3.75% convertible senior notes due 2018.  Old Republic has granted the underwriters a 30-day option to purchase up to an additional $50 million aggregate principal amount of the convertible notes on the same terms and conditions to cover overallotments, if any.  Old Republic intends to use a portion of the net proceeds from the offering to repay certain indebtedness assumed in connection with its recent acquisition of PMA Capital Corporation, and intends to use the remainder of the net proceeds for general corporate purposes, including the making of additional capital contributions to its insurance company subsidiaries as may be necessary.
