PARSIPPANY, N.J., May 22, 2017 /PRNewswire/ -- PBF Energy Inc. (NYSE: PBF) ("PBF Energy") announced today that its indirect subsidiary, PBF Holding Company LLC ("PBF Holding"), priced $725 million in aggregate principal amount of 7.25% senior notes due 2025 (the "Notes") in a private offering. The offering is expected to close on May 30, 2017, subject to customary closing conditions. The Notes will be co-issued by PBF Finance Corporation, a wholly owned subsidiary of PBF Holding.
PBF Holding intends to use the net proceeds from the offering to fund the previously announced cash tender offer for any and all of its outstanding 8.25% senior secured notes due 2020 (the "2020 Notes"), pay the related redemption price and accrued and unpaid interest for any 2020 Notes that remain outstanding after the completion or termination of the tender offer, and for general corporate purposes. The closing of the tender offer remains subject to the satisfaction of the terms and conditions of such tender offer. The closing of the offering of the Notes is conditioned on the satisfaction and discharge of the 2020 Notes.
The Notes to be offered and sold have not been registered under the Securities Act of 1933, as amended (the "Securities Act"), or any state securities laws, and unless so registered, the Notes may not be offered or sold in the United States except pursuant to an exemption from, or in a transaction not subject to, the registration requirements of the Securities Act and applicable state securities laws.
