Companies aiming to retain high-quality employees should consider only proper means of doing so, and avoid the tactics that have led to legal trouble for some of the country's biggest high-tech companies. In 2010, a number of these companies settled with the Department of Justice over "anti-poaching" agreements in which the companies agreed not to hire each other's employees. Since then, there have been civil lawsuits, one of which is still pending. Says Mross: "The best way to keep employees is to challenge them, offer them good pay and benefits, make them part of the team, and provide good managers who promote teamwork and respect. So-called 'gentlemen's agreements' not to hire another's employees are a sure way to get in trouble, as happened here."

U.S. companies doing business in China should be acutely aware of what's happening as the former chairman of China's biggest oil company is currently on trial for bribery and abuse of power. It is the latest example of that government's sweeping crackdown on corruption, including targeting Chinese officials and companies doing business there. Jiang Jiemin previously headed the China National Petroleum Corp. and also is a senior Communist Party official. Says Fox: "The Chinese government crackdown on corruption continues unabated. While the current phase is focusing on corrupt government officials who accepted bribes, any company that has done business in China the past several years needs to investigate its Chinese operations to prepare for the inevitable knock on the door from regulators."

Auto Dealership Acquisition Market Remains Hot

Booming auto sales and record profits at U.S. auto dealerships are leading to a spike in dealer acquisitions in Texas and nationwide. Warren Buffet's Berkshire Hathaway Automotive recently acquired the Van Tuyl Group in the largest acquisition in automotive retail history. Buffet, who has said he isn't done, is just one of many looking at investing in the industry. Across the country, car dealerships are reporting the most M&A interest and activity since the start of the Great Recession, with resulting transactions fetching record prices.
