SAN FRANCISCO, Nov. 5, 2013 /PRNewswire/ -- Prologis, Inc. (NYSE: PLD), the leading global owner, operator and developer of industrial real estate, today announced Nippon Prologis REIT, Inc. (NPR), a Japanese real estate investment trust, will issue new investment units. Prologis will retain a 15 percent ownership interest in NPR.

NPR intends to use the proceeds from the issuance, approximately JPY 32 billion ($324 million), combined with debt of approximately JPY 22 billion ($223 million), to acquire four Class-A properties for approximately JPY 54 billion ($547 million). The properties will be acquired from Prologis' wholly owned Japan portfolio. The assets, totaling approximately 2.6 million square feet (242,000 square meters), were made available to NPR through its sponsor support agreement with Prologis. The acquisition is contingent upon the successful issuance of units and is expected to close on December 3 in Japan.

"This acquisition aligns with NPR's investment strategy," said Gary Anderson, CEO, Prologis Europe and Asia. "NPR expects to grow and enhance its existing portfolio while creating additional unit holder value."

NPR is managed by a wholly owned subsidiary of Prologis.

This announcement is not an offer of securities for sale in the United States or any other jurisdiction. Securities may not be offered or sold in the United States unless they are registered or exempt from registration.
