Retail Holdings N.V. Shareholders Approve $2.50 Per Share Distribution

WILLEMSTAD, Curacao, Sept. 27, 2012 /PRNewswire/ -- Retail Holdings N.V. (the "Company") (Symbol:  RHDGF) announced that shareholders at the Company's Annual General Meeting today approved all of the pending proposals, including the recommendation to pay a distribution to shareholders of $2.50 per Common Share.  The record date for shareholders to be entitled to receive the distribution is September 27, 2012; the distribution will be paid on or about October 11, 2012.

U.S. shareholders are advised that the characterization of the distribution, as to whether it is a dividend or a return on capital for U.S. Federal income tax purposes, cannot be finally determined until the year end at which time the Company will provide this information, but management now estimates that approximately $0.20 per Share represents a dividend and $2.30 per Share represents a return of capital.
