NEW YORK, Sept. 10, 2013 /PRNewswire/ -- ROI Acquisition Corp. II (the "Company") announced today that it intends to commence its initial public offering of 12,500,000 units at $10.00 per unit. The Company intends to grant the underwriters a 45-day option to purchase up to 1,875,000 additional units to cover over-allotments, if any. Each unit issued in the initial public offering will consist of one share of the Company's common stock and one warrant to purchase one half of one share of common stock at an exercise price of $5.75 per half share.
ROI Acquisition Corp. II was formed for the purpose of effecting a merger, capital stock exchange, asset acquisition, stock purchase, reorganization or similar business combination with one or more businesses. The Company intends to focus on industries or sectors that complement its management team's background, and to capitalize on the ability of its management team to identify, acquire and operate a business, focusing on, but not limited to, the consumer sector, and in particular the consumer products, retail, and restaurant industries, and the financial services sector, and in particular the asset management industry, in the United States or globally.
