NEW YORK, LOS ANGELES, and LONDON, March 13, 2013 /PRNewswire/ -- RTG Ventures, Inc. (OTCQB: RTGV) restructured capitalization was approved by FINRA on February 5, 2013, and a "D" affixed to the symbol indicating that the Company was in Reorganization, and the action would be completed after 20 business days elapsed. At that point, the "D" was removed from the symbol following the March 5 trading day thus concluding the process. There were no issues and no delays in the regulatory approval process.
The new share structure now meets the requirements outlined in our last PR for any joint venture, investment or acquisition. It also provides the right structure to raise capital in an environment of growth.
The next step is to effect the name and trading symbol change, each being a separate revision. The name change has been registered with the State and is working its way through the system. Once the new name, Digital Brand Media & Marketing, Inc., is in place, a symbol change will be requested. This is a slow process which does not require any regulatory approval, but is merely a slow, paper processing endeavour.
As you would expect, the Company is continuing its business development activities. The nature of differentiating digital marketing is labor intensive and very much dependent on the quality of the professionals servicing the clients. Helping these clients grow geographically require an understanding of the global cultures--hard work and many, many meetings and discussions and building the rapport required in maintaining long-term clients. This has been the team's focus for the past year and also described in the annual 10-K filed in late 2012, and it continues.
In addition, the company continues its focus on the growing sector of digital marketing and brand enhancement across a tight set of vertical markets while looking to leverage its connections to focus in the sports, fashion and music sectors. The growth in Social Media management and digital marketing is key to helping successful and emerging companies to expand their business into the US and across Europe or globally, depending on the client. Our successful template is what differentiates Digital Clarity from its competitors and what has allowed DC to be the selected consultant in a number of contest situations.
For a variety of reasons, the Company must be silent as to the names of these businesses, not only for competitive reasons, but to assure no intrusion into the relationships.
The Company's Board of Directors have stated: "We continue to make the difficult decisions demanded in order to position the Company in a very competitive environment to meet the criteria of companies in whom we are interested in a business relationship either as clients or as partners. In that context, we also continue to meet all regulatory requirements as a fully reporting public company at a very expensive annual cost. That is a management decision. However, any analysis has confirmed that a private enterprise would have been much simpler to develop, capitalize and grow, but hind sight is 20/20. However, we now have taken the structural steps to move the Company forward in both client base and capital infusion. Our Business Plan is being revised to reflect the capital infusion required to execute the vision Reggie and Steve are driving."
The 10-Q for the second quarter is currently under preparation by RTG and its professional advisors and will be available to the public in mid-April.
