Santander Consumer USA Holdings Inc. Announces Pricing of Secondary Offering by Sponsor Auto Finance Holdings Series LP
DALLAS, Sept. 3, 2014 /PRNewswire/ -- Santander Consumer USA Holdings Inc. (NYSE: SC) (SCUSA) announced today the pricing of a previously announced secondary public offering of 10,047,954 shares of SCUSA's common stock by Sponsor Auto Finance Holdings Series LP ("Sponsor Auto"), an investment vehicle jointly owned by investment funds affiliated with certain entities, including Warburg Pincus LLC and Kohlberg Kravis Roberts & Co. L.P. at a public offering price of $18.68 per share. Sponsor Auto will receive all of the proceeds from this offering. No shares of common stock are being sold by the Company. The offering is currently expected to close on September 8, 2014, subject to customary closing conditions.
J.P. Morgan is acting as the sole bookrunner for the common stock offering. A shelf registration statement, including a base prospectus, with respect to the offering was previously filed by SCUSA with the Securities and Exchange Commission (the "SEC") and became effective on August 22, 2014.
