The Complaint alleges that throughout the Class Period, defendants made materially false and misleading statements, and omitted materially adverse facts, about the Company's business, operations and prospects. As a result of defendants' alleged false and misleading statements, the Company's stock traded at artificially inflated prices during the Class Period.
According to the Complaint, on August 31, 2015, post-market, Super Micro Computer announced that the Company "has determined that it is unable to file its Annual Report on Form 10-K for the fiscal year ended June 30, 2015 within the prescribed time period without unreasonable effort of expense. [Super Micro Computer] recently discovered certain irregularities regarding certain marketing expenses and additional time is required for [the Company] to complete its investigation of the matter."
On this news, shares in Super Micro Computer dropped over 9%, closing at $24.77 per share on September 1, 2015, on heavy trading volume.
