The Complaint alleges that throughout the Class Period, defendants made materially false and misleading statements, and omitted materially adverse facts, about the Company's business, operations and prospects. As a result of defendants' alleged false and misleading statements, the Company's stock traded at artificially inflated prices during the Class Period.
According to the Complaint, on August 31, 2015, analyst firm Citron Research published a report of Wayfair asserting, among other things, that Wayfair fails to mention Overstock.com as a competitor in its SEC filings despite the similarities between the companies.
On this news, shares in Wayfair dropped over 11%, closing at $37.30 per share on August 31, 2015, on heavy trading volume.
