ENGLEWOOD, Colo., Feb. 8, 2013 /PRNewswire/ -- Starz, LLC, a wholly-owned subsidiary of Starz (Nasdaq: STRZA, STRZB), along with a subsidiary Co-Issuer, (collectively the "Co-Issuers") announced today the completion of the previously announced offering of $175 million in aggregate principal amount of senior notes due 2019 (the "Notes"). The Notes were issued as additional notes under the indenture governing the Co-Issuers' existing $500 million 5.00% Senior Notes due 2019 ("existing 5% senior notes") and have identical terms to, and are treated as a single class with, the existing 5% senior notes. The net proceeds from the offering are being used to repay indebtedness under Starz, LLC's existing senior secured credit facility and for general corporate purposes.
The Notes were offered pursuant to an exemption under the Securities Act of 1933, as amended (the "Securities Act"). The Notes are not registered under the Securities Act or the securities laws of any other jurisdiction and may not be offered or sold in the United States absent registration or an applicable exemption from the registration requirements of the Securities Act.
In connection with the closing of the Notes offering, the Co-Issuers have agreed, subject to certain conditions, to file a registration statement relating to a registered offering to exchange the Notes for new registered notes having substantially identical terms as the Notes.
