ThermoGenesis Holdings Announces $3.5 Million Registered Direct Offering Priced At-the-Market
RANCHO CORDOVA, Calif., March 25, 2020 /PRNewswire/ -- ThermoGenesis Holdings, Inc. (Nasdaq: THMO), a market leader in automated cell processing tools and services in the cell and gene therapy field, today announced that it has entered into definitive agreements with several healthcare-focused institutional investors for the purchase and sale of 1,000,002 shares of the company's common stock, at a purchase price of $3.50 per share, in a registered direct offering priced at-the-market under Nasdaq rules. The closing of the offering is expected to occur on or about March 27, 2020, subject to the satisfaction of customary closing conditions.
H.C. Wainwright & Co. is acting as the exclusive placement agent for the offering.
The gross proceeds to ThermoGenesis from this offering are expected to be approximately $3.5 million, before deducting the placement agent's fees and other offering expenses payable by ThermoGenesis. The Company intends to use the net proceeds from this offering for working capital and general corporate purposes.
