HARTFORD, Conn., Oct. 31, 2011 /PRNewswire/ -- Virtus Investment Partners, Inc. (NASDAQ: VRTS), which operates a multi-manager asset management business, today announced it has reached an agreement with the holder of its Series B Convertible Preferred Stock to convert the preferred stock into 1,349,300 shares of Virtus common stock.

The holder of the preferred shares will receive a dividend of $8.1 million representing accrued dividends through Oct. 31, 2011 plus the present value of dividends it would have earned through Oct. 31, 2014, which is the earliest date Virtus could have called for the conversion or redemption of the preferred shares. Upon conversion, the holder will retain a 23 percent interest in Virtus and the right to nominate one director for election to Virtus' board. Certain rights associated with the preferred stock, including the right to elect a Series B Director, will no longer be in effect. As a result, Ross F. Kappele, who has been the Series B Director, resigned effective today. "Ross has been a valuable member of the board and we thank him for his contributions to Virtus," said George R. Aylward, president and chief executive officer of Virtus.
"The conversion significantly improves and clarifies our capital structure by providing Virtus with more operating flexibility and eliminating future preferred dividends," said Michael A.
