Vonage Holdings Corp. Announces Results of Annual Meeting of Stockholders and Election of Joseph M. Redling to the Board of Directors

HOLMDEL, N.J., June 9, 2011 /PRNewswire/ -- Vonage Holdings Corp. (NYSE: VG), a leading provider of communications services connecting individuals through broadband devices worldwide, announced the results of its annual meeting of stockholders this morning.

The company reported that its stockholders approved all of the following proposals:

• Election of Directors:  Stockholders elected all nominees including Marc P. Lefar, John J. Roberts, Carl Sparks, David C. Nagel, and new nominee Joseph M. Redling.
• Auditor Ratification:  Stockholders ratified BDO USA, LLP as the Company's independent registered public accounting firm for the fiscal year ending December 31, 2011.
• Advisory Vote on Executive Compensation:  Stockholders approved this proposal.
• Advisory Vote on Frequency of Vote on Executive Compensation:  Stockholders recommended holding an advisory vote on executive compensation every three years.

Election of Joseph M. Redling to Vonage Board of Directors

Mr. Redling is the President and Chief Executive Officer of NutriSystem, Inc., and Chairman of NutriSystem's board of directors.  Previously Mr. Redling was the President and Chief Operating Officer of NutriSystem from September 2007 to May 2008. Prior to that, Mr. Redling served as Chairman and CEO of AOL International and President of AOL Paid Services. From 2003 to 2006, Mr. Redling was the President of AOL's access business and Chief Marketing Officer, where he was instrumental in transitioning the company from a dial-up subscription model to a broadband-based web advertising business.
