MAUMEE, Ohio, Dec. 9, 2014 /PRNewswire/ -- Dana Holding Corporation (NYSE: DAN) ("Dana") today announced the closing of its previously launched offering of $425,000,000 aggregate principal amount of 5.500% Senior Notes due 2024.
Dana today also announced the purchase of $343,565,000 aggregate principal amount of its 6.500% Notes due 2019 (the "2019 Notes") that were tendered prior to the early tender time of 5:00 p.m. New York City time on Thursday, December 4, 2014, pursuant to Dana's previously announced tender offer (the "Tender Offer"). This purchase constitutes approximately 86% of the total aggregate principal amount of outstanding 2019 Notes. The Tender Offer is scheduled to expire at 12:00 midnight, New York City time, at the end of Monday, December 15, 2014.
Dana today also notified Wells Fargo Bank, National Association, as trustee ("Wells Fargo"), that Dana has elected to redeem $40,000,000 in aggregate principal amount of its 2019 Notes on January 8, 2015 (the "Redemption Date"), at a redemption price of 103.00% of the principal amount, plus accrued and unpaid interest up to, but not including, the Redemption Date.
